We are looking for a Corporate Governance Manager to join our team, working remotely, at Cygnet Healthcare.

The post holder will provide a highly effective and supportive role to the Board Secretary Governance in their leadership role to drive quality and continued improvement, in compliance with statutory and mandatory requirements, and therefore contribute to the improvement in service user outcomes and their experience by providing strong, visible leadership in projects as necessary.

Their day-to-day remit will see them working closely with corporate directorates and divisions in the delivery of their functions which will involve providing highly specialist governance, management support to senior committees and groups.

Key Responsibilities

  • Provide management support to the Board Secretary;
  • Be responsible for all aspects of the corporate governance agenda including the development of frameworks and implementation of associated policies and procedures;
  • Responsible for the preparation of the monthly Integrated Performance Report;
  • Lead the secretariat support to the Executive Management Board, board level committees including the Advisory Board and the Shareholder Board, including the recording of formal minutes, drafting of reports and agendas and briefing chairs prior to meetings;
  • Manage the planning process for the senior meetings as above, working in partnership with the Chair of the Committee;
  • Oversee the production of board and committee papers and ensure timely distribution;
  • Lead the production of the governance sections of the Annual Quality Statement and annual governance statement and annual report;
  • Manage the development and implementation of governance arrangements;
  • Provide support and advice to board members and senior managers on issues associated with corporate governance, proactively identify when more support is needed, and implement actions as necessary
  • Support the Board Secretary by managing, and where required provide, committee secretariat services;
  • Deputise for the Board Secretary including attendance at board, committee and senior meetings as required and other corporate governance matters;
  • Provide advice on the conduct of governance meetings;
  • Work with the executive team and other members of the Senior Management Team to ensure corporate governance is continuously enhanced in line with new requirements and best practice; and
  • Oversee board and committee self-assessment programmes including drafting reports, presenting findings and action plans.


Person Specification

 

  • Master’s level degree or equivalent Corporate governance qualification
  • Experience in a corporate governance role including working within board and committee structures.
  • Understanding of the Regulatory environment in which the Company operates
  • Organisational skills;
  • Communication skills - verbal and written;
  • Ability to create succinct formal minutes;
  • Ability to work unsupervised, making appropriate judgements/decisions;
  • Ability to meet deadlines/targets;
  • Capacity to concentrate for long periods of time.
